CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

By accessing this Virtual Data Room ("VDR"), you acknowledge and agree to the following terms:

1. Confidential Information. All documents, data, financial information, business plans, trade secrets, and other materials contained within this VDR (collectively, "Confidential Information") are proprietary to TRBNS and its affiliates.

2. Non-Disclosure. You agree to maintain strict confidentiality of all Confidential Information and shall not disclose, distribute, copy, reproduce, or disseminate any Confidential Information to any third party without prior written consent from TRBNS.

3. Permitted Use. You shall use the Confidential Information solely for the purpose of evaluating a potential transaction with TRBNS ("Permitted Purpose"). Any use of the Confidential Information for competitive advantage or any purpose other than the Permitted Purpose is strictly prohibited.

4. No Reproduction. You shall not copy, download, print, or otherwise reproduce any documents from this VDR without express written permission. Screenshots, screen recordings, and other methods of capturing displayed content are strictly prohibited.

5. Access Monitoring. You acknowledge that all activities within this VDR are monitored and logged, including but not limited to document views, time spent on each document, and access patterns.

6. Return/Destruction. Upon request by TRBNS or upon termination of the evaluation process, you shall promptly return or destroy all copies of Confidential Information in your possession.

7. Legal Remedies. Any breach of this agreement may result in irreparable harm. TRBNS shall be entitled to seek injunctive relief and other legal remedies in addition to any other rights available at law or in equity.

8. Governing Law. This agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey.
